onecle is a great resource for free online legal forms, mainly dealing with corporate law and M&A work. They are searchable and well classified according to subject matter, jurisdiction, and the contracting party (usually a large corporation). The documents do not come with any commentary whatsoever, but could help kickstart a drafting project if you are already somewhat familiar with what the document needs to do.

The Official WorldWide WarDrive just released results of its most recent "survey" of wireless networks, finding that of 288,000+ networks found, half of them were without WEP (wireless encryption) and 28.7% used the default SSID. Remember folks, your nifty new wireless router that works out of the box makes your internet connection, and potentially your entire local network available to neighbors and passers-by.

UT System's Office of General Counsel makes a wide variety of contracts forms available on their web page, including a number of very involved documents dealing with University research and technology transfer with Pharma companies. Ranges from waivers and Work For Hire to consulting agreements. Very cool. Kudos to them for making it available. (Assuming they know it is available?)

Injured Fan Cannot Sue Red Sox for Foul Ball, Court Says

I found this recent case where a fan hit by a foul ball and badly injured was denied legal relief in part due to a "ticket waiver" found on the back of her ticket to the Red Sox game. Injured Fan Cannot Sue Red Sox for Foul Ball, Court Says I'll try and find more on this case, since this ruling would seem to fly in the face of most caselaw on waivers of liability and exculpatory contracts. The major point against enforcing them being, "come on... who reads all that fine print anyway?". From what I can tell there was argument that the fan should have been on notice that this could happen, which depending on precedent in Massachusetts courts, might hold some water. Still, I am suspicious that this case had about as much chance of succeeding as a suit against the Packers in Green Bay, WI would have.

Solution for charities seeking to register in multiple states

One of the major stumbling blocks for any non-profit corporation or charity is all of the unanticipated administrative work that follows from in effect, starting a small business. One major surprise is that charities that solicit donations must register themselves not only in their home state, but also in each state where they solicit. For a growing charity, this can be quite a lot of work. The folks at "The Multistate Filer Project" have started an effort to streamline this process by creating a Unified Registration Statement Kit, which presently is accepted by the state governing authorities in 36 states. It allows you to complete one form, and attach the other required disclosures (Governing docs, Form 990, etc.) pay your fee, and be done with it. The packet is free in .PDF form, and contains citations and summaries to a good portion of the relevant governing law on the subject. I haven't spot checked their work yet (which I would recommend doing before completely relying on it), but it looks to be thorough and fairly comprehensive. Definitely a great start for anyone looking to tackle this effort.

Hello world. I am starting this blog as a way to archive my thoughts ... some work related, and some likely not... Which will tend to revolve around the practice of law, technology, non-profits, politics, maybe sports.... or whatever else is on my mind.
